Heartland Alliance serves those who are homeless, living in poverty or seeking safety by partnering with communities to break cycles of inequality. The organization is comprised of five nonprofit corporations, which provide a comprehensive array of services in the areas of health, housing, jobs and justice and leads state and national policy efforts that target lasting change for individuals and society.

 

Summary:  The Associate General Counsel is responsible for carrying out a wide range of legal work for the organization.  The Associate General Counsel will manage an independent workload and will also work with the General Counsel to provide legal services.   Representative matters include reviewing and drafting contracts, advising on legal issues relating to proposed new programs, and counseling on employment law issues.

 

Essential Duties and Responsibilities: 

  1. Provides sound legal guidance on range of matters that affect the organization:
    • Contracts and leases
    • Health care legal issues
    • Employment matters
    • Litigation  
    • Information privacy, security, and management matters
    • Participant-related matters
  2. Reviews and/or drafts contracts covering a broad range of matters, taking into account business issues and the requirements of government funders
  3. Works with compliance staff to assure compliance with legal and regulatory requirements, particularly in the areas of federal contracting and health care
  4. Reviews organization policies for legal issues and advises on appropriate revisions and new policies
  5. Counsels staff throughout the organization on current or potential legal exposure and issues
  6. Advises on legal matters associated with new and revised laws and regulations
  7. Oversees outside counsel on any significant program divestments
  8. Represents organization in litigation, working with outside counsel as appropriate
  9. Assists in creating various process improvements, such as preparing form contracts, establishing departmental web page, and developing organizational contract approval process
  10. Assists in selecting and managing outside counsel.

 

 

Supervisory Responsibility: With General Counsel, provides shared oversight of Executive Coordinator, delivering timely feedback to Coordinator and Executive Administrator.

  • Education and Experience:  Must be a graduate of an accredited law school and licensed to practice law in the state of Illinois. Incumbent must remain a member of the Illinois State Bar in good standing for the duration of this employment. Minimum of six years’ experience with relevant legal issues in a law firm or as in-house counsel.
  • Legal Knowledge: Knowledge of contract law required; knowledge of federal contracting, technology contracts, health care law, information privacy issues, corporate law (corporate mergers and divestments), tax issues relating to exempt organizations, and employment law preferred.
  • Organizational and Practice Skills: Must be comfortable working with range of clients, managing busy practice with multiple competing priorities, and learning about new areas of practice.   
  • Negotiation: Ability to independently negotiate business contracts, settlement agreements, and other legal matters.
  • Critical thinking: Use critical thinking skills to examine contractual language and provide risk management advice.
  • Communication: Excellent written, verbal, and interpersonal skills.
  • Computer Skills: Proficiency in Microsoft Office, Internet Explorer, Outlook; Windows operating systems; and other software routinely used by Heartland Alliance.
