Job Summary

The Associate Deputy General Counsel (ADGC) reports to the Vice President, Deputy General Counsel, and supports the development and implementation of proactive legal strategies across the organization. The role may oversee attorneys and legal professionals and requires strong expertise in areas such as Medicaid managed care, pharmacy benefit management, behavioral health, Exchange programs, Medicare and dual-eligible plans, insurance, HIPAA, provider contracting, and government procurements. The ADGC drives enterprise growth and innovation by providing strategic legal guidance for market expansion, partnerships, and transformative healthcare initiatives. It works closely with leaders across Legal, Compliance, Operations, Finance, and Business Development to manage risk and align legal strategy with corporate goals in a complex regulatory environment.

Responsibilities: 

  • Provides strategic legal counsel across Medicaid, Medicare, ACA marketplace plans, LTSS, and dual-eligible programs; advises senior leadership on complex legal and regulatory matters; evaluates legal and business risks; maintains expert knowledge of evolving laws and regulations; ensures compliance with CMS, state Medicaid requirements, HIPAA, HITECH, ERISA, and other statutes; and manages legal responses to regulatory audits, inquiries, and oversight activities.

  • Supports organizational growth and operational strategy by guiding procurements, contract renewals, and program expansions; engages with regulatory agencies and external partners; communicates effectively across internal and external stakeholders; and partners with Compliance, Policy, and Government Relations to anticipate regulatory changes and drive mission-aligned, sustainable business strategies.

  • Serves as a key legal advisor on enterprise growth initiatives, including market entry, joint ventures, mergers and acquisitions, strategic partnerships, and new product development—by guiding compliant, innovative strategies; providing legal oversight for Medicaid RFPs, proposals, and state program applications; and supporting expansion of digital health, care management technologies, and community-based innovations.

  • Partners closely with Business Development, Finance, Operations, and other stakeholders to structure legally sound arrangements, negotiate contracts with states, providers, and strategic partners, manage legal and business risk, and ensure that client needs and objectives align with broader organizational goals and sustainable growth strategies.

  • Drafts, reviews, and negotiates complex enterprise-wide agreements—including provider, vendor, technology, and administrative service contracts while advising on corporate governance, organizational structure, licensure, and transactional matters; provides proactive legal guidance to support operational efficiency, innovation, and value creation; and ensures all agreements and initiatives uphold AmeriHealth Caritas’ values of integrity, compliance, and community stewardship.

  • Serves as a trusted advisor to executive leadership while mentoring and leading legal professionals; fosters strong cross-functional alignment among Legal, Compliance, Technology, and Business teams to ensure integrated governance; and represents AmeriHealth Caritas in negotiations, regulatory meetings, and industry forums, reinforcing the organization’s commitment to compliance, integrity, and innovation.

Education 

  • Juris Doctorate (JD) degree from accredited law school required 
  • Active state bar membership in good standing 

 

Experience: 

  • Minimum of 10 years of healthcare/managed care related legal experience
  • Demonstrated success supporting enterprise growth, market expansion, or healthcare transactions.
  • Strong experience with Medicaid and Medicare program regulations, state procurements, contracting, and compliance frameworks.
  • Prior in-house counsel experience at a managed care organization, health plan, or healthcare system preferred.
  • Experience advising on corporate transactions, joint ventures, or public-private partnerships is highly desirable.
  • Strategic thinker with deep understanding of healthcare laws, regulations, and market dynamics.
  • Proven ability to align legal risk management with business growth and innovation objectives.
  • Exceptional negotiation, communication, and executive leadership skills.
  • Strong business acumen with the ability to translate complex legal concepts into actionable business strategies.
